1. Introduction
These Terms and Conditions ("Terms") govern access to and use of the Groupe Scolaire platform and related services (collectively, the "Services") provided by Groupe Scolaire ("Groupe Scolaire", "we", "us", or "our").
Groupe Scolaire is a multi-tenant education management software platform made available to private schools, training centers, institutes, and similar educational organizations operating in Morocco (each, an Organization). Each Organization uses the Services within a logically isolated tenant or workspace.
Groupe Scolaire is only a software provider. Groupe Scolaire does not operate any school or institute, does not provide teaching services, and does not make pedagogical, admissions, disciplinary, employment, accounting, or management decisions on behalf of any Organization.
Groupe Scolaire is operated by Aymen Elgad, an individual entrepreneur (auto-entrepreneur) based in Morocco — not a registered company or corporate entity. Every reference to "Groupe Scolaire", "we", "us", or "our" in these Terms means Aymen Elgad, trading as Groupe Scolaire. Contact details are in Section 22.
2. Definitions
- Organization means the private school, training center, institute, academy, or similar educational body subscribing to the Services.
- Principal means the Organization's designated administrative representative with authority to bind the Organization, administer the tenant, and assign access to assistants, teachers, students, and other authorized users.
- Tenant means the dedicated and logically isolated Organization workspace hosted within Groupe Scolaire.
- User means any person authorized to access the Services under an Organization account, including principals, assistants, teachers, students, and staff.
- Organization Data means all data, documents, content, records, files, communications, class data, student records, staff records, payment records, and other materials uploaded to or generated within the Organization's tenant.
- Data Controller means the Organization as the entity that determines the purposes and essential means of processing personal data within its tenant under Law No. 09-08.
- Data Processor or Service Provider means Groupe Scolaire, which processes personal data on behalf of the Organization for the purpose of providing the Services, subject to these Terms and any applicable data processing instructions.
3. Acceptance of Terms
By registering an account, creating a tenant, accessing the Services, or using the Services on behalf of an Organization, the Principal, the Organization, and each User agree to be bound by these Terms.
If you accept these Terms on behalf of an Organization, you represent that you have authority to do so. If you do not agree to these Terms, you must not access or use the Services.
5. School Account and Tenant Responsibility
Each Organization is solely responsible for its tenant, branch configuration, users, permissions, workflows, and all activities occurring through its accounts.
- keep account, billing, and contact information accurate;
- keep credentials secure and require Users to do the same;
- promptly revoke access for any departed, suspended, or unauthorized person;
- assign roles and permissions responsibly based on the Organization's internal governance;
- monitor use of the Services within its tenant and address misuse or unauthorized access promptly.
Each Organization's tenant is logically separated from other tenants. No Organization or User may access, attempt to access, infer, query, extract, test, scrape, or interfere with another Organization's data, tenant, or configuration.
6. Eligibility and Lawful Use
The Services may be used only by duly organized educational institutions and their authorized Users for lawful educational, administrative, financial, communication, and operational purposes.
The Organization is solely responsible for compliance with all laws applicable to its activities, including laws and regulations relating to education, labor, consumer protection, accounting, e-commerce, taxation, and personal data protection in Morocco.
7. Acceptable Use Restrictions
- use the Services for unlawful, fraudulent, deceptive, abusive, or harmful purposes;
- attempt unauthorized access to any tenant, account, or dataset;
- scrape, copy, extract, or systematically harvest data from the Services;
- bypass technical limits, rate limits, authentication, or access controls;
- introduce malware, harmful code, or destructive content;
- use the Services in a way that creates security, regulatory, or reputational risk for Groupe Scolaire, another Organization, or any data subject.
8. User Roles and Access Control
Groupe Scolaire supports principal, assistant, teacher, and student roles. These are software access categories only. The Organization remains solely responsible for assigning roles, defining internal authority, supervising users, and revoking access when needed.
The Principal is responsible for supervising assistants and other administrative users. The Organization bears responsibility for actions taken by its users inside the tenant, including data entry, communications, class management, educational records, payment records, and administrative decisions.
9. School Data and Responsibility for Content
As between Groupe Scolaire and the Organization, the Organization owns and remains responsible for its Organization Data. The Organization grants Groupe Scolaire a limited right to host, store, copy, back up, transmit, display, and otherwise process Organization Data only as necessary to provide, secure, maintain, support, and improve the Services and to comply with legal obligations.
- it has all rights, permissions, notices, and legal authority necessary to upload and use the Organization Data;
- the Organization Data and uploaded content do not violate any law, contract, confidentiality duty, or third-party right;
- the Organization remains solely responsible for the legality, accuracy, quality, and appropriateness of all data and content it uploads or causes to be uploaded.
10. Student and Minor Data
The Services may involve personal data relating to students and minors. The Organization is solely responsible for determining whether and how such data may lawfully be collected, uploaded, used, disclosed, or otherwise processed.
The Principal and the Organization must ensure that all required notices, consents, parental permissions, guardian authorizations, and CNDP-related formalities have been completed where required by law, especially for minors, student records, educational content, photographs, behavioral notes, and payment records.
Groupe Scolaire may rely on the Principal's and the Organization's representations that the necessary permissions and legal bases have been obtained.
11. Subscription, Billing, and Payment Terms
The Organization agrees to pay all subscription fees, implementation fees, add-on fees, taxes, and other charges described in the applicable order form, invoice, pricing page, or commercial agreement.
- subscriptions begin on the effective date of the applicable order and renew for successive terms unless cancelled under the agreed renewal rules;
- fees are billed in advance unless a written commercial agreement states otherwise;
- amounts paid are non-refundable except where mandatory law requires otherwise or Groupe Scolaire expressly agrees otherwise in writing;
- late payments may result in interest, collection costs, service restriction, or suspension to the extent permitted by law;
- the Organization remains responsible for all taxes, duties, and governmental charges other than taxes on Groupe Scolaire's net income.
If the platform includes tools for tuition, payment tracking, receipts, or fee workflows, those tools are software functionality only. The Organization remains solely responsible for fee setting, accounting, tax handling, refunds, collections, and compliance with Moroccan financial and consumer requirements.
12. Suspension, Termination, and Account Closure
Groupe Scolaire may suspend, restrict, or terminate access to all or part of the Services immediately, with or without prior notice, if Groupe Scolaire reasonably believes there is a breach of these Terms, non-payment, misuse, abuse, fraud, suspicious activity, security risk, legal risk, sanctions risk, or reputational risk.
Upon termination or expiration, Groupe Scolaire may disable access and delete or anonymize Organization Data after a reasonable export or transition period, subject to legal obligations, backup cycles, dispute preservation needs, and documented retention practices.
13. Intellectual Property
The Services, including the software, design, architecture, interfaces, documentation, trademarks, and all related intellectual property rights, remain the exclusive property of Groupe Scolaire and its licensors.
These Terms grant the Organization only a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term for internal educational and administrative use.
14. Platform Availability and Changes
Groupe Scolaire may update, modify, remove, limit, or discontinue any feature, workflow, integration, or part of the Services at any time. Maintenance, upgrades, emergency changes, outages, and interruptions may occur.
Groupe Scolaire does not guarantee uninterrupted, error-free, or always available service.
15. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
Groupe Scolaire is not responsible for school operations, teaching quality, pedagogy, admissions, discipline, staff management, employment matters, internal policies, parent disputes, student disputes, safeguarding decisions, or any Organization decision made through or outside the platform.
16. Limitation of Liability
To the maximum extent permitted by law, Groupe Scolaire and its affiliates, officers, employees, contractors, and licensors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, data, goodwill, or opportunity arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, the aggregate liability of Groupe Scolaire arising out of or related to the Services or these Terms will not exceed the total fees actually paid by the Organization to Groupe Scolaire for the Services during the twelve months preceding the event giving rise to the claim.
17. Indemnification
The Organization shall defend, indemnify, and hold harmless Groupe Scolaire and its affiliates, officers, employees, contractors, and licensors from and against claims, losses, liabilities, damages, judgments, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to the Organization Data, the Organization's use of the Services, violation of law, failure to obtain required permissions or consents, or disputes involving students, parents, guardians, staff, regulators, or third parties.
18. Governing Law
These Terms are governed by the laws of the Kingdom of Morocco. Any dispute arising out of or relating to these Terms or the Services shall be submitted to the competent courts of Morocco, subject to any mandatory legal rules to the contrary.
19. AI-Powered Features
Groupe Scolaire offers optional AI-powered features, using OpenAI's models: (i) tools that help teachers and principals draft lesson and exercise content, and (ii) an AI tutor, offered as voice and text chat, that helps a student review a specific lesson or a finished exercise attempt.
- AI-generated content may be incomplete, inaccurate, or unsuitable for a given curriculum. The Organization is solely responsible for reviewing, editing, and approving any AI-generated content before relying on it for teaching, grading, or any other purpose.
- The AI tutor is scoped to the lesson or exercise content it is given. It does not provide licensed educational, medical, psychological, or counseling advice and must not be treated as a substitute for a teacher, counselor, medical professional, or emergency service.
- If a student's message to the AI tutor suggests they may be in danger or considering self-harm, the AI tutor is instructed to stop tutoring and direct the student to a trusted adult, school staff, or local emergency services. This is a model-level safety instruction only and does not substitute for the Organization's own duty of care and supervision of its students.
- To the maximum extent permitted by law, Groupe Scolaire disclaims liability for decisions made in reliance on AI-generated content or AI tutor conversations.
20. General Provisions
- Force Majeure: Groupe Scolaire is not liable for delay or failure to perform caused by events beyond its reasonable control, including outages of third-party providers, internet or power disruptions, natural events, or governmental action.
- Severability: if any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be interpreted to best reflect the parties' original intent.
- Entire Agreement: these Terms, together with any applicable order form or commercial agreement, constitute the entire agreement between the Organization and Groupe Scolaire regarding the Services, and supersede prior discussions or agreements on the same subject.
- No Waiver: a failure to enforce any provision of these Terms is not a waiver of the right to enforce it later.
- Assignment: the Organization may not assign or transfer these Terms without Groupe Scolaire's prior written consent; Groupe Scolaire may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices: legal notices to Groupe Scolaire should be sent to the contact details in Section 22; notices to the Organization may be sent to the Principal's registered email address.
21. Changes to Terms
Groupe Scolaire may amend these Terms from time to time. Updated Terms will become effective when posted or otherwise communicated. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
22. Contact Information
For legal notices, contract questions, billing questions, or CNDP-related inquiries, contact Groupe Scolaire by email at support@groupescolaire.app or by phone at 06 80 09 30 03.
In short
- Groupe Scolaire is operated by Aymen Elgad, an individual entrepreneur — not a company.
- The principal confirms that they are legally authorized to bind the school, center, or institute.
- Each organization remains the Data Controller for its own tenant data, while Groupe Scolaire acts as the processor and software provider.
- The organization is responsible for the legality of the data it uploads, including student, staff, payment, and content records.
- The organization must handle notices, consents, parental permissions, and CNDP formalities required by Moroccan law, especially for minor data.
- AI-generated content and AI tutor output must be reviewed by the Organization before being relied on; the AI tutor redirects students who mention self-harm to a trusted adult or emergency services, but this is not a substitute for the Organization's own supervision.
- Groupe Scolaire does not run the organization and is not responsible for teaching, admissions, employment, academic decisions, or internal disputes.
- Each tenant is logically isolated, and any attempt to access another organization's data is strictly forbidden.
- Groupe Scolaire may suspend or terminate access for breach, abuse, fraud, legal risk, or non-payment.
- Liability is contractually limited, and the organization must indemnify Groupe Scolaire for claims caused by its data, conduct, or legal non-compliance.
- Standard contract protections apply: force majeure, severability, entire agreement, no waiver, and restricted assignment.
